Employment Confirmation :

This Employment Confirmation should be written in The Letter-Pad of the Company.

This agreement is to confirm our employment offer to you of a position with DHG Corp. as administrative assistant. Your employment by our company will be effective February 1, 2007 and will continue at the pleasure of DHG Corp.

Per our previous discussions, your starting wage will be Rs.300 per hour. In addition to your salary, the following benefits and privileges are provided in connection with your employment: dental and health insurance and 401(k) plan.

Your employment by the Company is an at-will employment that may be terminated without cause on two-week notice. Termination for cause may be made at any time without notice or payment in lieu of notice of good cause. Any modification of the terms of your employment is subject to the approval of the Company.

Your hours of employment are 9 a.m. to 6 p.m. You will be paid at the established overtime rate of pay for any and all hours worked beyond your normal working hours. All overtime hours must be approved in advance and in writing by your supervisor.

Your primary duties and responsibilities are, but not limited to, those outlined on the attached document. Other duties and responsibilities may be assigned to you by your supervisor as is deemed necessary.

In accepting this confirmation of employment, you agree not to disclose any confidential information regarding this company, any individuals employed by this company, or our clients that you may learn during the course of your employment to anyone outside ofthe Company in the course of and after your employment.

Any questions or concerns regarding the information contained in this agreement should be directed to Pratik Asthani. To accept the terms of this agreement and employment with the Company, please sign one copy of this confirmation and return by January 15, 2007.

I, Max T. Eider, accept employment with the Company per the terms set forth above.
